Information Obligation for Shareholders

Pursuant to Article 13(1) and (2) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) Official Journal of the EU L. 119 of 04.05.2016, p. 1, hereinafter referred to as GDPR, we inform you that:

The Administrator of your personal data (“ADO”) is BISAR S.A. with its registered office at Budynek ROZBRAT 6 /18, 00-451 Warsaw.

Purposes and legal bases of processing. Your personal data is processed for the purpose of performing tasks related to the servicing of natural persons holding shares in BISAR S.A., including maintaining the Share Register, issuing copies and excerpts from the share register.

Personal data is processed on the basis of Article 6(1)(c) of the GDPR – Processing is necessary for compliance with a legal obligation to which the Administrator is subject, and Article 6(1)(f) of the GDPR – for the purposes of the legitimate interests pursued by the Administrator. The primary legal acts regulating this matter are the Commercial Companies Code, the Act on the National Court Register, and the Company’s Articles of Association. Categories of personal data contained in the share register: shareholder’s name, surname and/or proxy’s name, parents’ names, address, PESEL, series and number of identity document, bank account. The collection of personal data is maintained in electronic and paper form.

The period of processing of Shareholders’ personal data is related to the purposes of their processing indicated above. In connection with the above, personal data will be processed for the period during which legal provisions require the Administrator to store the data.

Recipients of data. The recipients of personal data are the Shareholders. Each shareholder has the right to inspect the share register and request a copy from the register. Shareholders’ personal data will be transferred to authorized institutions specified by law and to processors who provide services to the Data Administrator and to whom this data is entrusted, e.g., law firms, IT companies, security service providers.

Transfer of personal data to a third country. Personal data will not be transferred to recipients in countries outside the European Economic Area (“third countries”).

Rights of the data subject. In accordance with applicable personal data protection regulations, you have the right to access your data, to rectification (correction) of data, to erasure, to restriction of processing, or to object to its processing, and to data portability.

Right to lodge a complaint with a supervisory authority. You have the right to lodge a complaint with the supervisory authority, which in Poland is the President of the Personal Data Protection Office. Contact details: Personal Data Protection Office, ul. Stawki 2, 00-193 Warsaw, tel. 606-950-00

Providing personal data is a condition for acquiring Shareholder rights. The consequence of not providing personal data will be the inability to fulfill the obligation incumbent on the Administrator and the inability for the data subject to enforce Shareholder rights.

Automated decision-making. We inform you that your data will not be processed in an automated manner, nor will it be used for profiling.

Second Call to Shareholders

SECOND CALL TO SHAREHOLDERS OF BISAR S.A. TO SUBMIT SHARE DOCUMENTS AT THE COMPANY’S REGISTERED OFFICE

The Management Board of BISAR S.A., acting pursuant to Article 16 of the Act of August 30, 2019, amending the Commercial Companies Code, calls all shareholders to submit share documents (collective share certificates) at the Company’s registered office, at: Al. Jerozolimskie 142A, lok. 12/28, 02-305 Warsaw, so that they can be converted into electronic form. The submission of share documents to the Company takes place with a written confirmation issued to the shareholder.

More information regarding the mandatory dematerialization of shares is included in the first call, which is available on the shareholder communication platform.

This call is the second of five required by law.

First Call to Shareholders

FIRST CALL TO SHAREHOLDERS OF BISAR S.A. TO SUBMIT SHARE DOCUMENTS AT THE COMPANY’S REGISTERED OFFICE

The Management Board of BISAR S.A. – acting pursuant to Article 16 of the Act of August 30, 2019, amending the Commercial Companies Code and certain other acts (Journal of Laws of 2019, item 1798) and Article 43 of the Act of May 14, 2020, amending certain acts regarding protective measures in connection with the spread of the SARS-CoV-2 virus (Journal of Laws of 2020, item 875) – informs that as of March 1, 2021, paper share documents issued by BISAR S.A. to its shareholders will lose their legal force.

The above results from the mandatory dematerialization of shares introduced into the Polish legal system, under which the aforementioned share documents will be replaced on March 1, 2021, by entries in the shareholder register maintained by an entity that, pursuant to the Act of July 29, 2005, on Trading in Financial Instruments, is authorized to maintain securities accounts.

The loss of legal force by paper share documents means that after March 1, 2021, these shares will not be a document confirming shareholder status, but only an evidentiary document necessary for updating the electronic shareholder register.

Furthermore, after January 1, 2026, shareholders whose share documents have not been submitted to the company and have not been included in the electronic shareholder register will lose the protection of their membership rights.

The shareholder register will be maintained in electronic form, to which every shareholder will have access. Additionally, this register will replace the currently functioning share register maintained by the Management Board of BISAR S.A.

The Management Board of BISAR S.A. has concluded an agreement for maintaining the shareholder register with Dom Maklerski NAVIGATOR S.A. with its registered office in Warsaw, address: ul. Twarda 18, 00-105 Warsaw, entered into the register of entrepreneurs of the National Court Register, maintained by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register under KRS number: 0000274307, NIP: 1070006735, with a share capital of PLN 1,400,000, fully paid up.

The selection of the aforementioned entity was made by the Extraordinary General Meeting of BISAR S.A. on September 30, 2020, by resolution.

Therefore, the Management Board of BISAR S.A. calls all shareholders to submit share documents (collective share certificates) at the Company’s registered office, at: Al. Jerozolimskie 142A, lok. 12/28, 02-305 Warsaw, so that they can be converted into electronic form. The submission of share documents to the Company takes place with a written confirmation issued to the shareholder.

This call is the first of five required by law.
